1. Agreement to Terms
By accessing or using the Yalzapp website (https://yalzapp.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
Yalzapp provides software development, AI consulting and implementation, mobile and web application development, and UI/UX design services. The specific scope, deliverables, timeline, and pricing for any engagement will be outlined in a separate project proposal or statement of work agreed upon by both parties.
3. Project Estimates
Estimates provided through our website, including the quote estimator tool, are preliminary and non-binding. They are intended to provide a general price range based on the information you supply. Final pricing, scope, and timelines are determined during the discovery and proposal phase and formalized in a written agreement.
4. Intellectual Property
Client ownership
Upon full payment, you own all custom code, designs, and deliverables created specifically for your project. This includes source code, design files, and documentation produced as part of the engagement.
Pre-existing materials
We retain ownership of any pre-existing tools, frameworks, libraries, or components that we use or adapt during your project. You receive a perpetual, non-exclusive license to use these materials as part of your delivered product.
Portfolio rights
We reserve the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.
5. Payment Terms
- Payment schedules, amounts, and methods are specified in individual project proposals.
- For most projects, we use milestone-based payments (e.g., 30% upfront, 30% at midpoint, 40% on delivery).
- Invoices are due within 14 days of issuance unless otherwise agreed.
- Late payments may result in project pauses until outstanding balances are settled.
6. Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide timely feedback, content, and approvals at agreed milestones.
- Provide access to necessary accounts, systems, and resources.
- Designate a primary point of contact for project communication.
- Review and test deliverables within agreed timeframes.
7. Revisions and Scope Changes
Each project proposal includes a defined number of revision rounds. Additional revisions or features beyond the agreed scope will be quoted separately. We will always communicate scope changes and associated costs before proceeding.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, technical architecture, user data, and any information marked as confidential. This obligation survives the termination of any engagement.
9. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day bug fix period after project delivery for defects in our work.
Beyond the above, our services are provided "as is" without additional warranties. We do not guarantee specific business outcomes, revenue increases, or user growth resulting from our work.
10. Limitation of Liability
To the maximum extent permitted by law, Yalzapp's total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific project in question. We are not liable for indirect, incidental, or consequential damages.
11. Termination
Either party may terminate an engagement with 14 days written notice. In the event of termination:
- You will be invoiced for all work completed up to the termination date.
- All completed deliverables and work-in-progress will be transferred to you upon payment.
- Advance payments for undelivered work will be refunded.
12. Governing Law
These terms are governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services will be resolved through good-faith negotiation first, and if necessary, through binding arbitration.
13. Changes to These Terms
We reserve the right to update these Terms of Service at any time. Changes take effect when posted on this page. Continued use of our website or services after changes constitutes acceptance of the updated terms.
